Terms of Service

Please read these Terms of Service carefully before placing any order or entering into any business relationship with Guangzhou Qianhe Communication Equipment Co., Ltd. By submitting a purchase order, inquiry, or otherwise engaging with our products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Guangzhou Qianhe Communication Equipment Co., Ltd. ("Company," "we," "us," or "our"), a company incorporated under the laws of the People's Republic of China and headquartered in Shunde District, Foshan City, Guangdong Province, and any individual, company, or entity ("Customer," "you," or "your") that accesses our website, submits an inquiry, places an order, or otherwise engages in a commercial relationship with us.

By proceeding with any transaction or business engagement, you represent and warrant that:

  • You have the legal authority to enter into binding agreements on behalf of yourself or your organization.
  • You are at least 18 years of age or the age of majority in your jurisdiction.
  • All information provided to us is accurate, current, and complete.

Definitions

"Products"

Network cabinets, server cabinets, wall-mounted cabinets, open frames, industrial control cabinets, monitoring consoles, outdoor waterproof cabinets, and all related sheet metal products manufactured by us.

"Custom Order"

Any order involving non-standard dimensions, special materials, unique configurations, custom finishes, or other specifications deviating from our standard catalog.

"Services"

Pre-sales consultation, solution design, production follow-up, technical support, after-sales service, and all other services provided by the Company.

"Order Confirmation"

A written document issued by us confirming acceptance of a purchase order, including specifications, pricing, delivery schedule, and payment terms.

"Incoterms"

International Commercial Terms published by the International Chamber of Commerce, as referenced in individual sales contracts or order confirmations.

"Force Majeure"

Events beyond a party's reasonable control, including natural disasters, pandemics, war, government actions, supply chain disruptions, or other unforeseeable circumstances.

Products & Orders

3.1 Product Descriptions

We strive to provide accurate product descriptions, technical specifications, and images on our website and in our catalogs. However, actual products may vary slightly from descriptions due to continuous product improvements, material availability, or display differences. All product specifications are subject to the final Order Confirmation document.

3.2 Order Placement

All orders must be submitted in writing via email, our official website inquiry form, or other agreed-upon channels. An order is not binding until we issue a written Order Confirmation. We reserve the right to accept or decline any order at our sole discretion.

3.3 Minimum Order Quantity

As part of our commitment to flexible manufacturing, we accept orders starting from a single unit (MOQ = 1) with no minimum order quantity requirement. This applies to both standard and custom products, subject to applicable pricing adjustments for small-batch orders.

3.4 Order Cancellation

Standard product orders may be cancelled within 24 hours of Order Confirmation without penalty. Custom orders that have entered production cannot be cancelled. Cancellation of custom orders after material procurement has commenced may incur charges covering materials, labor, and overhead costs already expended.

Customization Services

We specialize in non-standard customization and offer comprehensive custom manufacturing services. The following terms apply to all custom orders:

Design Approval

All custom specifications, technical drawings, and design files must be approved in writing by both parties prior to production commencement. Once approved, changes may incur additional charges and lead time extensions.

Customer-Provided Specifications

When customers provide specifications, drawings, or designs, the customer assumes full responsibility for the accuracy and legality of such materials. We are not liable for defects arising from customer-provided specifications.

Tolerance Standards

Unless otherwise specified in writing, all custom products are manufactured to industry-standard sheet metal tolerances (±0.5mm for dimensions under 500mm; ±1.0mm for dimensions 500mm and above).

Sample Orders

Sample or prototype orders are available upon request. Sample costs will be quoted separately and may be credited toward bulk orders upon agreement.

Payment Terms

5.1 Standard Payment Terms

Unless otherwise agreed in writing, our standard payment terms are 30% deposit upon Order Confirmation and 70% balance payment prior to shipment. Payment terms for specific orders will be detailed in the Order Confirmation document.

5.2 Accepted Payment Methods

We accept T/T (Telegraphic Transfer / Wire Transfer), L/C (Letter of Credit) for orders above agreed thresholds, and other methods as mutually agreed. All bank charges outside of China are the responsibility of the Customer.

5.3 Currency

All prices are quoted in US Dollars (USD) unless otherwise specified. We reserve the right to adjust pricing in response to significant currency fluctuations exceeding 5% from the date of quotation to the date of Order Confirmation.

5.4 Late Payment

Overdue payments will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date. We reserve the right to suspend production or withhold shipment for outstanding balances.

Shipping & Delivery

6.1 Delivery Terms

Delivery terms (FOB, CIF, EXW, DDP, etc.) will be specified in each Order Confirmation in accordance with the applicable Incoterms 2020 rules. Risk of loss or damage transfers to the Customer as specified by the agreed Incoterms.

6.2 Lead Times

Estimated production and delivery lead times are provided in good faith and are not guaranteed unless expressly stated as firm delivery dates in the Order Confirmation. We will notify Customers promptly of any anticipated delays.

6.3 Shipping Documentation

We will provide standard export documentation including commercial invoice, packing list, and bill of lading. Certificates of origin, inspection certificates, and other special documents may be arranged upon request and may incur additional fees.

6.4 Import Duties & Taxes

The Customer is solely responsible for all import duties, customs clearance fees, taxes, and any other charges levied by the destination country's authorities, unless otherwise specified in the agreed Incoterms.

Warranty & Returns

7.1 Product Warranty

We warrant that our products are free from defects in materials and workmanship for a period of twelve (12) months from the date of shipment, under normal use and storage conditions. This warranty applies to manufacturing defects only and does not cover damage resulting from misuse, improper installation, unauthorized modification, or normal wear and tear.

7.2 Warranty Claims

To make a warranty claim, Customers must notify us in writing within 30 days of discovering the defect, providing photographic evidence, product serial numbers, and a detailed description of the issue. Claims submitted after this period may not be honored.

7.3 Warranty Remedies

Upon verification of a valid warranty claim, we will, at our sole discretion: (a) repair the defective product; (b) replace the defective product or component; or (c) issue a credit or refund. Shipping costs for warranty returns will be negotiated on a case-by-case basis.

7.4 Returns Policy

Standard products may be returned within 14 days of receipt if unused and in original packaging, subject to a restocking fee of up to 15%. Custom-made products are non-returnable unless defective. All returns require prior written authorization from us.

Important: Customers must inspect all shipments upon receipt. Visible damage or shortage must be noted on the carrier's delivery receipt and reported to us within 5 business days. Claims for transit damage reported after this period may not be accepted.

Intellectual Property

All intellectual property rights in our products, designs, technical drawings, catalogs, website content, trademarks, and trade secrets ("IP") are and shall remain the exclusive property of Guangzhou Qianhe Communication Equipment Co., Ltd. or its licensors.

Customers are granted a limited, non-exclusive, non-transferable license to use our product documentation solely for the purpose of installing, operating, and maintaining purchased products. No other rights are granted.

Customers must not copy, reproduce, reverse-engineer, or create derivative works from our proprietary designs without prior written consent. Where customers provide their own designs for custom manufacturing, the customer retains ownership of those designs and grants us a limited license to manufacture the products.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information disclosed during the course of their commercial relationship, including but not limited to pricing, technical specifications, customer lists, and business strategies ("Confidential Information").

Each party shall use Confidential Information solely for the purposes of fulfilling obligations under these Terms and shall not disclose it to third parties without prior written consent, except as required by applicable law or regulation.

Confidentiality obligations shall survive the termination of any commercial relationship for a period of three (3) years.

Limitation of Liability

Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR ANY ORDER SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.1 Exclusion of Consequential Damages

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.

10.2 Force Majeure

We shall not be liable for any delay or failure to perform our obligations resulting from Force Majeure events. We will notify you promptly of any such event and resume performance as soon as reasonably practicable. If a Force Majeure event continues for more than 90 days, either party may terminate the affected order without liability.

Compliance & Export Controls

Our products are manufactured in compliance with applicable Chinese laws and regulations and relevant international standards including ISO 9001 quality management standards. Products intended for specific markets may be subject to additional certification requirements.

The Customer is solely responsible for ensuring that the import, resale, and use of our products comply with all applicable laws and regulations in the destination country, including but not limited to import regulations, technical standards, safety requirements, and environmental regulations.

Our products are subject to Chinese export control laws and regulations. The Customer agrees not to re-export or transfer our products to any country, entity, or individual in violation of applicable export control laws without obtaining all required government approvals.

Governing Law & Dispute Resolution

12.1 Governing Law

These Terms and all disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

12.2 Amicable Resolution

In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute.

12.3 Arbitration

If the dispute cannot be resolved through negotiation, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its arbitration rules then in force. The arbitration shall be conducted in Guangzhou, China, in the English language. The arbitration award shall be final and binding on both parties.

Amendments & Severability

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our official website with a revised "Last Updated" date. Continued engagement with our products or services following such updates constitutes acceptance of the revised Terms. For existing orders, the Terms in effect at the time of Order Confirmation shall govern.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with any applicable Order Confirmation and specific agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
